Deals Of The Day
• CVS Health Corp: The company on Monday agreed to buy home healthcare services company Signify Health for about $8 billion in cash, a move that will enable one of the largest U.S. healthcare companies to provide further care management to patients in their homes. CVS expects the deal to close in the first half of 2023 and said that it expects the acquisition to be "meaningfully" accretive to earnings. CVS said it would pay $30.50 per share for the company, or about $7.6 billion in equity as well as about $400 million in equity appreciation rights.
In Other News
• Amazon.com Inc: The company is considering entering the prescription drug sales market in Japan, the Nikkei newspaper reported on Monday. Amazon plans to partner with small- and mid-sized pharmacies for the service, starting next year when electronic prescriptions are allowed for the first time in Japan, Nikkei said, citing people involved in the project. Separately, Amazon said on Saturday that its pricey "Lord of the Rings" prequel series was watched by more than 25 million viewers around the world on its first day, a record debut for a Prime Video series.
• Bed Bath & Beyond Inc: The death of the company's chief financial officer, who fell from New York's Tribeca skyscraper known as the "Jenga" tower on Friday afternoon, has been ruled a suicide, the New York City Medical Examiner's Office said on Monday. Gustavo Arnal, 52, died from "multiple" blunt force trauma, the office said. The suicide came days after the struggling retailer announced it was closing stores and laying off workers. It also comes after Arnal as well as the company were sued on Aug. 23 over accusations of artificially inflating the firm's stock price in a "pump and dump" scheme, with the lawsuit alleging Arnal sold off his shares at a higher price after the scheme.
• Carlyle Group Inc & TPG Inc: Private equity firms Fountainvest Capital Partners, TPG and Warburg Pincus are among final-round bidders for Carlyle's stake in AmbioPharm, people with knowledge of the transaction told Reuters. Carlyle, which is targeting a valuation of $1 billion for Ambio in a sale, is expecting binding bids in the coming days, said three of the people. A deal could be reached by the end of September at the earliest, said one of them.
• Citigroup Inc: The company on Friday said it has slightly trimmed its mortgage workforce, due to an internal streamlining of functions. Less than 100 positions were affected, according to Bloomberg News, which first reported the layoffs. "We are doing our best to support each individual by helping them to find new employment opportunities within Citi or outside the firm," a spokesperson for Citi said in a statement.
• ConocoPhillips: The company, one of the largest U.S. independent oil producers, will provide natural gas and manage a carbon capture and storage facility for a proposed U.S. hydrogen gas project to be jointly developed with Japan's largest utility JERA, the companies said on Monday. The agreement to supply gas for hydrogen, a potential clean fuel for electricity production, marks a new avenue for natural gas producers. Several companies, including Conoco, have lined up long-term supply contracts with liquefied natural gas (LNG) developers that supply utilities.
• Credit Suisse Group AG: The company is selling its global trust business, an offshore arm for wealthy clients, as it embarks on an overhaul of its business following a series of scandals. The sale was announced as the Swiss bank defended itself against a billion-dollar-plus damages claim involving its trust arm in Singapore. Credit Suisse said it would sell its Singapore trust business, among others, and wind down legal entities and "residual businesses" in the coming years.
• Deutsche Bank AG: The company has opened a representative office in Bangladesh, the 15th market in which the bank operates in the Asia Pacific region, it said on Monday. It has hired Syed Naushad Zaman, former deputy head of Commerzbank's CBKG.DE representative office in Bangladesh, to lead the new business, the bank added.
• Digital World Acquisition Corp: The blank-check acquisition firm that agreed to merge with Donald Trump's social media company failed to secure enough shareholder support for a one-year extension to complete the deal, people familiar with the matter said on Monday. At stake is a $1.3 billion cash infusion that Trump Media & Technology Group (TMTG), which operates the former U.S. president's Truth Social app, stands to receive from Digital World Acquisition, the special purpose acquisition company (SPAC) that inked a deal last October to take TMTG public. Digital World needs 65% of its shareholders to vote in favor of the proposal to extend its life by 12 months for the move to become effective. By Monday evening, far fewer Digital World shareholders than those required had voted in favor, the sources said. The outcome of the vote is set to be announced at a special meeting of Digital World shareholders on Tuesday. Digital World executives do not believe they will be able to muster enough shareholder support in time and have started to consider alternative options, according to the sources.
• EQT Corp: The company, the largest dedicated producer of U.S. natural gas, is in advanced talks to acquire peer THQ Appalachia I LLC and associated pipeline infrastructure for around $4 billion, including debt, people familiar with the matter said on Monday. If the negotiations conclude successfully, EQT may announce an agreement with the owners of THQ Appalachia as early as this week, the sources said, requesting anonymity because the matter is confidential.
• Exxon Mobil Corp & Shell Plc: Shell and Exxon Mobil have put up for sale one of Europe's largest and oldest natural gas production ventures, betting on soaring energy prices amid tensions with Russia to attract buyers, according to a document and industry sources. The top two Western energy giants could raise over $1 billion from the sale of the 50-50 NAM joint venture in the Netherlands, two industry sources said.
• GSK PLC & Sanofi SA: The European Union's drugs regulator may be a few weeks from deciding whether to approve the experimental COVID-19 vaccine developed by French drugmaker Sanofi and its British partner GSK, a Sanofi executive said on Monday. Thomas Triomphe, Sanofi's executive vice-president for vaccines, told a hearing in the European Parliament that he believed the European Medicines Agency (EMA) would decide on the possible approval of the vaccine in a few weeks. The EMA was not immediately available to comment.
• JPMorgan Chase & Co: The company plans to hire a team of retail bankers in Germany as the biggest U.S. lender prepares to expand its international consumer business in pursuit of steadier revenue streams. In its first such foray outside the United States, JPMorgan entered the British market with a digital-only retail offering last year and executives have signalled their aim is to expand this to other countries. JPMorgan is now tracking the success of the rollout before making a decision on exactly where and to what extent it will offer the business elsewhere, a senior executive told Reuters. The hires in Germany could be used across different locations, the person said on condition of anonymity because JPMorgan's plans have not yet been finalised.
• Meta Platforms Inc: Ireland's data privacy regulator has agreed to levy a record fine of 405 million euros against social network Instagram following an investigation into its handling of children's data, a spokesperson for the watchdog said. Instagram plans to appeal against the fine, a spokesperson for parent Meta said in an emailed statement.
• Philip Morris International Inc: The company is considering lowering the acceptance threshold on its bid for Swedish Match, Bloomberg News reported on Monday, citing people familiar with the matter. According to Swedish law, 90% of shareholders would need to accept the offer to enable Philip Morris to acquire the remainder. However, PMI could choose to hold a majority stake in the company and keep it listed. It could then look to mop up the remaining shares over time. The Marlboro maker will decide in the next few weeks if it will change the deal conditions, the Bloomberg report said.
• Rio Tinto Plc: The chief executive of global mining firm Rio Tinto has met with top executives at the new Chinese state-owned agency created with an aim of centralising the country's iron ore purchases. Rio's CEO Jakob Stausholm and chief commercial officer Alf Barrios held a video meeting with the senior management of the Group on Sept. 1, the company said in a statement in Mandarin on its Chinese website on Monday. "Rio Tinto Group is very honoured to have the opportunity to become a strategic partner with China Minerals, and work together to deepen comprehensive cooperation in various fields and achieve win-win development," Stausholm said in the statement.
• Sea Ltd: Southeast Asia's largest e-commerce firm Shopee has rescinded dozens of job offers in the past two weeks, sources said, a move that began shortly after parent company Sea reported widening losses and sharply slower revenue growth. Four people interviewed by Reuters who have participated in a WeChat group of some 60 people that was set up to discuss Shopee's withdrawal of offers said their offers were pulled just days before they were due to begin work. One 27-year-old engineer who asked that only his first name Wang be used said his call came a week after arriving in Singapore, having quit a job in Shanghai with TikTok owner Bytedance.
• Tesla Inc: The company is stepping up recruitment in Thailand, Southeast's Asia automotive hub, with the U.S. electric vehicle (EV) maker looking to hire a business development manager and recruiters, its website shows. Nearly 20 Bangkok-based jobs including a home charging developer were advertised on its website and the position of a charging infrastructure lead was posted on LinkedIn on Monday. Other vacancies were for vehicle technicians, customer service and a parts adviser.
• Toyota Motor Corp: The company's truck and bus unit Hino Motors will halt production of some medium and heavy-duty trucks for at least another year after a widespread data falsification scandal, Nikkei Asia reported on Sunday. The medium-duty Ranger and the heavy-duty Profia truck will not be produced until August 2023, the report added.
• UBS Group AG: The Swiss bank and Wealthfront said on Friday they have mutually agreed to terminate their $1.4 billion deal, as part of which the automated wealth management provider was to be acquired by UBS Americas Inc. The Swiss bank said it is committed to its plan of growing in the U.S. and will continue to build its digital wealth management offering. "We are continuing to explore ways to work together in a partnership and UBS has given us $70 million in financing at a $1.4 billion valuation," Wealthfront Chief Executive Officer David Fortunato said.

Inside Tesla's drive to keep Musk's battery promise
The secret behind Elon Musk's goal of selling 20 million Tesla's a year by 2030 lies in its pioneering battery technology. The good news is that by using bigger cells and a new process to dry-coat electrodes, Tesla could halve the cost of a Model Y battery, saving more than 8% of the car's U.S. starting price, battery experts with ties to the company said.

Goedemorgen,
